Welcome to Please Hold Health Pty Ltd (“Please Hold”). These Terms and Conditions ("Terms") govern your access to and use of the Please Hold services, including our AI phone agents, platform, integrations, and related offerings ("Services"). By subscribing to or using our Services, you agree to be bound by these Terms.

Services Provided

Please Hold offers AI-powered phone agents and workflow automation solutions, including but not limited to:

  • 24/7 AI Receptionist Agent for call handling, bookings, referrals, and patient communications.
  • AI Sales Agent for e-referral management and outbound communications.
  • Analytics platform providing referral partner insights and performance tracking.
  • Custom integrations with client PMS, CRM, RIS, and booking systems.

Subscription and Fees

Services are offered via monthly subscription plans or pay-per-conversion models as outlined in your agreement.

Fees are billed in advance and are non-refundable.

Failure to pay may result in suspension or termination of Services.

Use of Services

You agree to use the Services solely for lawful purposes within your healthcare or clinic operations.

You are responsible for establishing and maintaining human handover points where necessary.

Customisation of scripts, forms, and integrations will be performed in collaboration with your team.

Data Privacy and Security

Please Hold complies with ISO27001, SOC2, and the Privacy Act 1988.

All patient and client data is encrypted and stored securely.

You retain ownership of your data; however, you grant Please Hold a license to process data as required to deliver the Services.

You are responsible for ensuring your use of the Services complies with applicable privacy laws.

Integrations

Our technology integrates with supported third-party systems. Where custom integrations are required, development timelines will be mutually agreed upon.

Please Hold is not liable for disruptions caused by third-party systems.

Service Availability

The AI agents operate 24/7, subject to reasonable maintenance windows and unforeseen outages.

Please Hold will use commercially reasonable efforts to ensure high availability but does not guarantee uninterrupted service.

Limitations of Liability

Please Hold is not liable for indirect, incidental, or consequential damages arising from the use of the Services.

Total liability under these Terms shall not exceed the total fees paid by you in the preceding three (3) months.

Confidentiality

Both parties agree to keep confidential all non-public information exchanged in the course of the engagement.

Termination

Either party may terminate the agreement with 30 days’ written notice.
Please Hold may terminate or suspend Services immediately for breach of these Terms or unlawful use.

Intellectual Property

All intellectual property related to the Please Hold platform, AI agents, and analytics remains the exclusive property of Please Hold.

Custom conversational pathways and integrations developed for your workflows may be reused by Please Hold in anonymized form.

Intellectual Property

Please Hold reserves the right to modify these Terms. Updated Terms will be communicated, and continued use of Services constitutes acceptance.

Governing Law

These Terms are governed by the laws of [Insert Jurisdiction].
